1. Scope of Application
These Terms of Service (“ToS”) govern the provision and use of the desktop software CatalogueHub (the “Software”) by Battl Victory Records D.N. Sejpka (“we”, “us”, “our”) towards registered users (“User”, “you”). The Software is available for Windows and macOS.
2. Registration and Access
The Software is only issued to pre-registered users. Registration is free of charge. By registering, you accept these ToS.
3. Free Basic Use (always free)
Pure music catalogue management (creating, editing, managing tracks, metadata, artists, albums, artworks) is permanently free of charge.
4. Paid Services (Annual Subscription & Bundles)
The following services are subject to a fee within the scope of an annual subscription:
DDEX Export Module: Generates DDEX-compliant files
CWR Export Module: Generates CWR-compliant files
Modules can be purchased individually or in bundles. Prices and bundles are communicated in the customer portal prior to conclusion.
5. Technical Implementation: Lemonsqueezy, PayPal, Stripe
License and subscription management as well as the customer portal are operated via Lemonsqueezy.
Payments are processed via PayPal or Stripe.
We do not store any sensitive payment data.
6. Term, Cancellation, Renewal of Subscription
Term: 12 months from the date of order.
Automatic renewal for another 12 months, unless cancelled in the customer portal at least 30 days before expiry.
After expiry or cancellation, access to the export modules ceases. Your catalogue data remains unaffected.
7. Payment Terms & Refunds (No-Refund Policy)
Payment in advance via PayPal or Stripe.
Refunds are excluded, unless a booked module is permanently unusable due to a demonstrable fault attributable to us (remediation period: 30 days).
No refund in case of: dislike, non-use, rejection by DSPs, errors in external standards, disruptions of Lemonsqueezy/PayPal/Stripe.
8. Functionality of the Software
8.1 Modules
Basic: Catalogue management (local, free)
Export modules (paid): Generation of DDEX or CWR files
8.2 Optional Direct Transfer via SFTP/FTP
You can store SFTP or FTP access data (server, username, password, port) for a recipient in the Software. After generating a file, the Software can transfer it directly from your computer to the target server.
The access data is – if you activate a checkbox “Save access data” – stored locally on your computer.
There is no encryption of this stored access data. You bear the risk that third parties with access to your computer could read this data.
If you do not activate the checkbox, the access data is only held in memory for the current session and discarded when you close the Software.
Important: Battl Victory Records has no access to your access data whatsoever. They are neither transmitted to us nor stored on our servers.
9. No Warranty for Successful Transfer
We assume no warranty that a transfer will be successful. Sources of errors can include: network problems, server outages, incorrect access data, missing permissions, incompatibilities with the recipient’s SFTP/FTP server.
You are obliged to independently check after each transfer (e.g. by logging into the target server or by confirmation emails) whether the file has arrived.
10. Your Responsibility for Access Data and Recipients
You are solely responsible for the secure storage of your access data. The Software stores them unencrypted if you activate the checkbox. Therefore, only use the Software on secured computers.
You must be authorised to send files to the respective recipient (DSP, library, publisher).
You indemnify us against all claims by third parties arising from unauthorised, erroneous or insecure use of the transfer function.
11. No Responsibility for DDEX or CWR Standards
The Software attempts to reflect the specifications of DDEX and CWR. However, we assume no warranty that the generated files are error-free or accepted by third parties. The standards are maintained by external organisations.
12. Updates and Data Loss
We inform you about available software updates via email. There is no automatic update function.
You are responsible for installing updates yourself.
We assume no liability whatsoever for loss of data (e.g. catalogue data, stored access data, export files) resulting from an update or from using the Software.
13. Backup Obligation
You are obliged to create regular backups of your data. We strongly recommend:
at least one backup of the local database (where your catalogue data is stored)
ideally a full system backup (of the system on which the Software is running)
A missing or outdated backup is at your own expense.
14. No Storage of Music Content by Us
The Software is a pure desktop tool. No audio files, metadata or artworks are transmitted to us or stored by us. We only store your registration and subscription data (see separate Privacy Policy).
15. Your Responsibility as a User (Summary)
You are solely responsible for:
Correctness of your catalogue data
Possession of all necessary rights to the works managed
Compliance with data protection laws
Regular backups
Secure storage of your SFTP/FTP access data
Independent verification of successful transfers
16. Disclaimer and Limitation of Liability
The Software (including paid modules) is provided “as is”. To the extent permitted by law, we are only liable for intent and gross negligence.
In the case of simple negligence, we are only liable for breach of material contractual obligations (cardinal obligations), limited in amount to the typical, foreseeable damage.
Any liability is excluded for:
lost profits
loss, damage or disclosure of your SFTP/FTP access data (if you have activated the storage checkbox)
data loss on your system (including during updates)
failed or rejected transfers to third parties
damages arising from the use (or non-use) of DDEX/CWR files by third parties
17. Applicable Law
Swiss substantive law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
18. Place of Jurisdiction
The exclusive place of jurisdiction for all disputes is the registered office of Battl Victory Records (Switzerland), provided that you are a legal entity or do not have a general place of jurisdiction in Switzerland.
19. Amendments to the ToS
We reserve the right to amend these ToS with effect for the future. Registered users will be informed by email. In the case of price adjustments or material changes, the following applies: If you do not object within 30 days, the changes shall be deemed accepted. In the event of objection, access to paid services will cease; the free basic use remains unaffected.
